End User License Agreement

IMPORTANT – READ CAREFULLY:

This End User License Agreement (“Agreement”) is a legal contract between you (“End User” or “You”) and JL IT Solutions (Pty) Ltd (“Company,” “We,” or “Us”) governing your purchase and use of the software application (“Software”).

 

1. Grant of License

•             Upon purchase, JL IT Solutions (Pty) Ltd grants you a limited, non-exclusive, non-transferable license to install and use the Software solely for lawful purposes and in accordance with this Agreement.

•             The Software is sold with a license to use, not ownership of the underlying intellectual property. 


2. Ownership

•             The Software and all associated intellectual property rights remain the sole property of JL IT Solutions (Pty) Ltd.

•             You acquire only the right to use the Software under the terms of this Agreement.

 

3. User Responsibilities

•             You are solely responsible for safeguarding any passwords, encryption keys, or access codes used with the Software.

•             JL IT Solutions (Pty) Ltd shall not be liable for any loss, corruption, or misplacement of password files, nor for negligence in handling such credentials.

•             You agree to maintain backups of your data and to use the Software responsibly.

 

4. Restrictions

You may not:

•             Resell, rent, lease, sublicense, or distribute the Software without prior written consent.

•             Modify, reverse engineer, or attempt to derive source code from the Software.

•             Circumvent or disable any security features of the Software.

5. Disclaimer of Warranties

•             The Software is provided “AS IS” without warranties of any kind, whether express or implied.

•             JL IT Solutions (Pty) Ltd disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

 

6. Limitation of Liability

•             To the maximum extent permitted by law, JL IT Solutions (Pty) Ltd shall not be liable for any damages, including but not limited to loss of data, loss of profits, business interruption, or any indirect, incidental, or consequential damages arising from use of the Software.

•             You acknowledge that responsibility for maintaining backups and safeguarding access credentials rests entirely with you.


7. Termination

•             JL IT Solutions (Pty) Ltd may terminate this Agreement immediately if you fail to comply with its terms.

•             Upon termination, you must cease all use of the Software and destroy all copies in your possession.

 

8. Governing Law

•             This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.

•             Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

 

9. Entire Agreement

•             This Agreement constitutes the entire agreement between you and JL IT Solutions (Pty) Ltd regarding the Software and supersedes all prior understandings.

 

By purchasing, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
